TERMS AND CONDITIONS

1. Definitions
1.1 In these terms and conditions, unless the context otherwise requires, the following expressions have the following meanings:
– “Client” means the party ordering the Work from the Freelancer;
– “Freelancer” means Jennifer Graham, trading as JG Proofreading;
– “Work” means the services which are to be provided by the Freelancer to the Client
 
2. Overview
2.1 These terms and conditions apply to any Work completed for the Client by the Freelancer.
2.2 The Client is under no obligation to offer the Freelancer work; neither is the Freelancer under any obligation to accept work offered by the Client.
2.3 The Freelancer will provide Work, as mutually agreed, confirmed in writing by the Client.
2.4 The Work will be carried out unsupervised at such times and places as determined by the Freelancer, using her own equipment.
2.5 The Freelancer confirms that she is self-employed, is responsible for her own income tax and National Insurance contributions.
2.6 The Freelancer is not VAT-registered.
2.7 The Freelancer does not subcontract work. 
2.8 The Client must acknowledge, in writing, that they have read, understood and agreed to these terms and conditions. 
 
3. Project
3.1 If, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, the Freelancer may renegotiate the fee and/or the deadline or decline to carry out the Work.
3.2 Similarly, if, during the term of the Freelancer's work, additional tasks are requested by the Client, the Freelancer may renegotiate the fee and/or the deadline or decline to carry out the Work.
3.3 The Client is ultimately responsible for checking and approving all work submitted by the Freelancer. 
 
4. Fees and payment
4.1 A quotation for the Work will be provided by the Freelancer to the Client following the Freelancer’s evaluation of a representative sample of the materials to be worked on, and a discussion with the Client as to what is required.
4.2 The Client will pay the Freelancer a fee per hour OR per 1000 words OR an agreed flat fee for the job, as agreed in writing.
4.3 The completed Work will be delivered on or before the date agreed, for the agreed fee, which will be based on the description of the Work required and the brief, both supplied by the Client.
4.4 If the Work is lengthy, the Freelancer may invoice periodically for completed stages.
4.5 Unless agreed otherwise at the outset, payment will be made within 30 days of receipt of the Freelancer's invoice, according to the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).
4.6 Payment is accepted by bank transfer in British pounds. 
 
5. Cancellation
5.1 Either the Client or the Freelancer has the right to terminate a contract for services if there is a serious breach of its terms.
5.2 If the Client cancels the Work during the project, the Freelancer reserves the right to invoice for 100% of the agreed fee.
5.3 If the Client pays a deposit, it is non-refundable, unless the Freelancer cancels the Work, in which case it will be refunded either in full or on a pro-rata basis, depending on the amount of work completed.
 
6. Confidentiality
6.1 All content delivered to the Freelancer by the Client for the Work is owned by the Client.
6.2 In this respect, the Client agrees to hold the Freelancer harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them.
6.3 Any content created by the Freelancer as part of the Work will become the copyright of the Client, unless otherwise agreed.
6.4 The nature and content of the Work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.
6.5 The Freelancer may use the Client’s name and testimonial in her promotional material, unless agreed otherwise.
 
7. GDPR
7.1 The information that the Client and the Freelancer may keep on record is covered by the terms of the General Data Protection Regulation. No more such information will be held than is necessary, at any time, to comply with those terms and with any compliance statement or privacy policy published by the Client and/or the Freelancer. Both the Client and the Freelancer agree that, where consent is required to hold or process such data, such consent has been requested and obtained and both facts can be demonstrated. Either may view the other’s records to ensure that they are relevant, correct and up to date.
 
8. Legal 
8.1 This agreement is subject to the laws of England and Wales law, and both Freelancer and Client agree to submit to the jurisdiction of the English and Welsh courts.
